【摘要】：訴權(quán)是保障基本權(quán)利的一種手段，而訴權(quán)約定制度是權(quán)利人對于該種保障手段的一種讓渡。一般情況而言，在讓渡基本權(quán)利的同時訴權(quán)也將相應(yīng)的讓渡，然而一些許可制度卻打破了這一規(guī)則，在知識產(chǎn)權(quán)的許可過程中就存在這樣的問題。知識產(chǎn)權(quán)的許可模式分為普通許可、排他許可、獨占許可這三類，，這三類許可中對于訴權(quán)的劃分各有不同，然而法律規(guī)定的訴權(quán)劃分有時候并不能滿足商業(yè)的需求，于是訴權(quán)約定便在此基礎(chǔ)上形成。訴權(quán)約定是當(dāng)事人對訴訟權(quán)利的一種處分，隨著這種處分方式的廣泛應(yīng)用，建立和完善相應(yīng)的訴權(quán)約定制度具備重要的價值。 在對知識產(chǎn)權(quán)訴權(quán)約定的過程中，訴權(quán)約定主體的認(rèn)定，訴權(quán)約定的內(nèi)容以及訴權(quán)約定的救濟(jì)方式是訴權(quán)約定制度的核心問題。在對訴權(quán)約定主體的確定上，應(yīng)當(dāng)充分考慮保護(hù)第三人的利益。而在訴權(quán)約定內(nèi)容的論證中，應(yīng)該從專利權(quán)、商標(biāo)權(quán)、著作權(quán)這三個角度加以論證。同時還要充分考慮許可合同的不同類型，根據(jù)普通許可、獨占許可、排他許可這三類不同許可合同的特點，分別進(jìn)行論述。最后，在訴權(quán)約定的同時還應(yīng)該考慮到訴權(quán)約定的救濟(jì)方式，對訴權(quán)約定中不符合法律規(guī)定的約定加以限制。只有充分考慮這三項關(guān)鍵因素，才能保證訴權(quán)約定制度的完善運(yùn)行。
[Abstract]:The right of action is a means to protect the basic rights, and the contractual system of the right of action is a kind of assignment of the right holder to this kind of safeguard means. Generally speaking, the basic rights will be transferred at the same time the right of action will be transferred. However, some licensing systems break this rule, such problems exist in the process of intellectual property licensing. The licensing mode of intellectual property is divided into three categories: general license, exclusive license and exclusive license. The classification of litigation rights is different in these three kinds of licenses. However, the division of litigation rights stipulated by law sometimes can not meet the needs of business. Therefore, the right of action agreement was formed on this basis. Litigation agreement is a kind of disposition of litigant's right of action. With the wide application of this kind of disposition, it is of great value to establish and perfect the corresponding contractual system of litigation right. In the process of the agreement on the litigation right of intellectual property, the determination of the subject of the agreement, the content of the agreement of the right of action and the remedy method of the agreement of the right of action are the core issues of the contractual system of the right of action. In the determination of the subject of the right of action, the protection of the interests of the third party should be fully considered. In the argumentation of the content of litigation agreement, it should be demonstrated from three angles: patent right, trademark right and copyright. At the same time, we should fully consider the different types of licensing contracts, according to the general license, exclusive license, exclusive license, the characteristics of these three different licensing contracts, respectively. Finally, we should take into account the remedy mode of the right of action agreement, and limit the agreement which does not accord with the law in the agreement of the right of action. Only by fully considering these three key factors, can we guarantee the perfect operation of the contractual system of the right of action.
