【摘要】：從20世紀(jì)80年代開始，投資者法人化、機(jī)構(gòu)化已成為國際證券市場(chǎng)的一個(gè)發(fā)展趨勢(shì)。隨著機(jī)構(gòu)投資者持股比例的不斷提高，他們也開始積極參與公司治理。當(dāng)前，我國上市公司治理廣泛存在著內(nèi)部人控制和控股股東侵犯中小股東利益的問題。在探討這一問題的解決途徑時(shí)，很多學(xué)者都開始關(guān)注機(jī)構(gòu)投資者的作用。不過，理論界對(duì)機(jī)構(gòu)投資者能否保護(hù)中小投資者的爭(zhēng)論還在繼續(xù)。因此，本文從機(jī)構(gòu)投資者的角度出發(fā)，研究機(jī)構(gòu)投資者能否通過參與公司治理，，發(fā)揮監(jiān)督者的作用，保護(hù)中小投資者利益。 本文選取了2009-2011年在深圳證券交易所主板上市的公司作為研究對(duì)象。研究發(fā)現(xiàn)，機(jī)構(gòu)投資者持股比例正向作用于上市公司中小投資者保護(hù)，機(jī)構(gòu)投資者持股比例越高，對(duì)中小投資者保護(hù)越好。機(jī)構(gòu)投資者數(shù)目越多的公司，對(duì)中小投資者保護(hù)越好。機(jī)構(gòu)投資者能否保護(hù)中小投資者利益取決于機(jī)構(gòu)投資者持股比例的高低和機(jī)構(gòu)投資者數(shù)目的多少。
[Abstract]:From the beginning of the 1980s , institutional investors have become a developing trend of international security market . With the increasing proportion of institutional investors , many scholars begin to actively participate in corporate governance . At present , many scholars have begun to pay attention to the role of institutional investors . However , in the discussion of the solution to this problem , many scholars have begun to pay attention to the role of institutional investors . The paper selects the companies listed on the main board of Shenzhen Stock Exchange in 2009 - 2011 as the research object . The research finds that the higher the proportion of institutional investors , the higher the holding proportion of institutional investors , the better the protection of small and medium - sized investors . The larger the number of institutional investors , the better the protection of small and medium - sized investors . Whether the institutional investors can protect the interests of small and medium - sized investors depends on the proportion of institutional investors and the number of institutional investors .
